Accel Frontline Ltd has informed BSE that the members of the Company, by way of Postal Balloy, will consider the following Resolutions :
1. Authority to the Board of Directors of the Company ("Board"), to transfer the Companys Warranty Management Services Division (WMS Division) along with all the employees; assets and liabilities including all the contracts, consents, goodwill etc specifically related to the WMS Division, as a "going concern" and by way of a slump sale to its wholly owned subsidiary Accel Frontline Services Private Ltd (AFSPL) for a consideration of Rs 96.30 million, (subject to Adjustment Values arising out of the transactions between the Companys corporate division and the business between the valuation date and actual date of transfer) arrived at based on the valuation by the two independent valuers appointed for this purpose and with effect from such date as the Board of Directors of the Company may think fit, subject to necessary provisions and approvals.
2. Authority to the Board of Directors of the Company ("Board") to sell its wholly owned subsidiary Accel Frontline Services Pvt Ltd (AFSPL) to the Management Team of WMS division and Accel Ltd for a consideration of Rs 105.03 million, arrived at based on the valuation by the two independent valuers appointed for this purpose, with effec from such date as the Board of Directors of the company may think fit, subject to necessary provisions and approvals....

Accel Frontline Limited has informed the Exchange that "In terms of Sections 293(1)(a) and 192A of the Companies Act 1956 read with the Companies (Passing of Resolution by Postal Ballot) Rules, 2001, sale, lease or otherwise disposal of the whole or substantially the whole of the undertaking of the company or where the company owns more than one undertaking, of the whole or substantially the whole of any such undertaking requires the approval of the shareholders by way of an Ordinary Resolution/s through Postal Ballot. (1) Ordinary Resolution under section 293(1)(a) of the Companies Act, 1956 in relation to the transfer of WMS division to its wholly owned subsidiary (AFSPL). (2) Ordinary Resolution under section 293(1)(a) of the Companies Act, 1956 in relation to sale of its wholly owned subsidiary (AFSPL) to the management Team of WMS Business and Accel Limited. The Board of Directors has appointed Mr. AR. Ramanathan, Advocate as Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner. The duly completed and signed form should reach the Scrutinizer on or before the close of working hours on January 24, 2009. The Scrutinizer will submit his report to the Chairman and Managing Director of the Company after completion of the scrutiny of the Postal Ballot. The results will be announced by the Chairman and Managing Director or any Director of the Company on January 30, 2009. A copy of the Postal Ballot notice shall be available on the NSE website (http://www.nseindia.com) under Corporates > Latest Announcements and on the Extranet Server (/Common/Corporate Announcements). ...
