Heritage Foods (India) Ltd. has informed the Exchange that the notice is given to the members of the Company for passing the following resolutions through Postal Ballot pursuant to Section 192A of the Companies Act. 1956 read with the Companies (Passing of Resolution by Postal Ballot) Rules, 2001.(1) Increase in Borrowing Limits - Section 293 (1) (d) of the Companies Act, 1956. (2) Creation of Charge / Mortgage - Section 293 (1) (a) of the companies Act, 1956. The Board of Directors at their meeting held on July 30, 2008 has appointed Ms. Savita Jyoti. Practicing Company Secretary as the Scrutinizer to receive and scrutinize the Ballot Papers from the Members. Duly completed Postal Ballot Form should reach to the Scrutinizer on or before September 13, 2008. The Chairman shall announce the result of the Postal Ballot at the Annual General Meeting to be held on September 26, 2008. Further the Company has submitted to the Exchange a copies of notice of Postal Ballot, Extract of the resolution passed at the meeting of the Board of Directors of the Company held on July 30, 2008 and Calendar of Events.
