Entegra Limited has informed the Exchange that the Company in its Annual General Meeting held on December 22, 2008 considered and transacted the following businesses: 1. Re-appointed Mr. Mukul S. Kasliwal, Mr. P. L. Nene, and Mr. A. C. Kapadia as Directors liable to retire by rotation; 2. Appointed M/s. Walker, Chandiok & Co, Chartered Accountants as the Statutory Auditors of the company along with Ms. Malpani & Associates as the Joint Statutory Auditors for the financial year 2008-09 to hold the office till the conclusion of next Annual General Meeting of the Company; 3. Entegra Ltd has informed BSE that the members at the 13th Annual General Meeting (AGM) of the Company held on December 22, 2008, inter alia, has considered and transacted the following business:

1. Adopted the Audited Accounts for the financial year ended March 31, 2008 and report of the Board of Directors and Auditors thereon.

The board has approved a swap ratio of 500 equity shares of Rs 10/- each along with 13567 Compulsorily convertible Cumulative Preference Shares of the Face value of Rs 10/- each of Entegra Ltd for every one share of (of the face value of Rs 10/- each) SKG Power Ventures Pvt Ltd....
