Sanghvi Movers Ltd. has informed the Exchange that : "In the past, the Company forfeited 2,39,100 equity shares of Rs. 10/- each due to non-payment of call of Rs. 5/- per share aggregating to Rs. 11,95,500/-. At present there are 11,95,500 forfeited shares of Rs. 2/- each due to sub-division of the equity shares from Rs. 10/- each to Rs. 2/- each. Pursuant to the Articles of Association of the Company, the Board of Directors of the Company in its meeting held on 29th July, 2008 have decided to cancel 11,95,500 Equity Shares of Rs. 2/- each (Originally 2,39,100 Equity Shares of Rs. 10/- each), which were forfeited in the past, from the issued, subscribed and paid-up capital of the Company although these shares continue to form part of the authorised Share capital of the Company. However, there will not be any change in the Capital listed on the Stock Exchanges"....

Sanghvi Movers Ltd has informed BSE that the members at the Annual General Meeting (AGM) of the Company held on July 29, 2008, inter alia, have passed the following ordinary / special resolutions:
1. Adoption of Audited Balance Sheet as at March 31, 2008, the Profit and Loss Account for the Year ended on that date and the Reports of Directors and Auditors thereon.
2. Declaration of Dividend @ 150% or Equity Shares for the Year ended March 31, 2008.
3. Re-appointment of Mr. P C Bhalerao & Mr. R S Desai, as Directors of the Company.
4. Re-appointment of M/s. L M Joshi & Co., Chartered Accountants as Auditors of the Company to hold office from the conclusion of this Annual General Meeting till the conclusion of the next Annual General Meeting.
5. Alteration of Articles of Association of the Company by inserting Clause "48A regarding Cancellation of Forfeited Shares" after Clause 48 of the Articles of Association of the Company.
6. Re-appointment of Mr. C P Sanghvi as the Managing Director of the Company for a period of 3 years w.e.f. October 01, 2008, as per the terms and conditions including payment of remuneration and perquisites.
7. Increase in salary of Mr. R S Desai, Executive Director of the Company including payment of performance based incentive from 2007-08 and onwards.

Sanghvi Movers Ltd has informed BSE that in the past, the Company forfeited 2,39,100 equity shares of Rs 10/- each due to non-payment of call of Rs 5/- per share aggregating to Rs 11,95,500/-. At present there are 11,95,500 forfeited shares of Rs 2/- each due to sub-division at the equity shares from Rs 10/- each to Rs 2/- each.
