Utv Software Communications Limited has informed the Exchange that as per section 192A of the Comapnies Act, 1956 read with the Companies (Passing of the Resolution by Postal Ballot) Rules 2001, consent of the shareholders is required to be obtained by means of Postal Ballot to amend the terms of warrants issued to Unilazer Exports and Management consultants Limited as more particularly stated in the notice. The Company has posted the notice and postal ballot form on October 07, 2008. The Company has appointed Mr. Sanjay Parab, Practicising Company Secretary as the Scrutinizer for conducting the Postal Ballot in a fair and transparent manner. The duly completed Postal Ballot Form should reach the Scrutinizer on or before the November 07, 2008. The Scrutinizer will submit his final report after the completion of the scrutiny and the results of the Postal Ballot shall be announced by the Chairman or in his absence by any person so authorised by Chairman on November 10, 2008. A copy of notice of the Postal Ballot shall be available on the NSE website (http://www.nseindia.com) under: Corporates > Latest Announcements and on the Extranet Server (/Common/Corporate Announcements)....

I fully agree with your view. UTV channels like World movies Bindaas etc are doing extremely well. Company is likely to grow educomp way. rates in F&O have been seems to have been manipulated....

The F&O Positions in UTV is too low to influence its price in cash market, present market conditions notwithstanding as the matter stands today UTV has strong fundamentals and the management delivers on its targets, Q2 results are also bound to be good and there is no reason for the scrip to go down substantially from here.AS WITH ANY OTHER STOCK IT WILL SHOW ITS STRENGTH once the present storm blows over, further Ranbaxy is in the pharma sector which has fallen out of favour among investors bcos of too many issues with the regulators in USA.
COMPARING utv WITH ranbaxy is like comparing Apples and Oranges.

Please be informed that the total share holding of individuals is less than 4% of the Capital and hence all the shares tendered by small investors will be readily accepted by Disney which is to buy 20% of the Capital, it is therefore wise to buy in the market and tender in the open offer.

This info is from a reliable source, on the 30th of Sep 08 individual shareholders holding equity of less than one lac are less than 4% of the entire shareholding, if in doubt please refer the stock utvsof on the nse website where the figures for 30th June 08 are also available.
Further there is good news for utv in the form of a news that finmin is mulling permitting overseas cos to buy the stocks of their jv,s directly from the stock market, if the same is cleared with sebi then Disney will be free to aquire utv shares from the market and the price will shoot up to dizzy heights.
ALL GOOD THINGS COME TO THOSE WHO WAIT....

Sir, Please be sure and do not misguide genuine investors. There are people like me who will read your post and follow your advise. From what you have stated This is a 100 % money making machine ( Rs 140 per share ) I think the days of making EASY money are GONE please cross check your date.

A LOT of delivery based buying, around 75% 0f the turnover was seen on the UTV counter yesterday both on NSE & BSE amidst the mayhem that persisted in the market, goes to show that informed circles are slowly mopping up the stock sold by small retail investors, smart money is now entering this scrip at lower levels for making a killing in the medium term. UTV is one share that warrants buying in todays markets, its Disney open offer at 860.79 is on the cards and short term small investors can now buy in the market to avail of the difference in price between market and open offer, however medium and long term holders are not to give in to the open offer as the tie up with Disney will benefit UTV in the medium and long term, it would be prudent for me to mention here that DISNEY has also picked up a 15% stake in UTV GLOBAL BROADCASTING LTD which is a subsidiary of UTV SOFTWARE for a whopping price of 3933 per share WHICH GOES TO SHOW THE VALUE OF THE UTV CONGLOMERATE.

WHAT A BULL'S EYE prediction ....
what is its future ... in the short term .... in next 10-15 days ....
my sense is that it can go back to 795-805 levels as soon as the open offer @ 861 is announced in the press .... GOD WILLING, IT CAN BE EVEN AS EARLY AS NEXT WEEK..... but the only spanner is the very bad condition of the world markets ....

UTV Software Communications Ltd has informed BSE that the Board of Directors has on October 01, 2008, subject to the approval of the shareholders, approved the amendments of the terms of the Warrants issued to Unilazer Exports and Management Consultants Ltd ("Unilazer") as set out below. Clause (1) and (2) of the terms of the Warrants as set out in the Board Resolution of February 16, 2008 and the shareholders Resolution on March 17, 2008, and Clause (3) and (4) of the warrant certificate for the warrants, shall be deemed to be replaced by Clause (1) and (2) as resolved by the Board on this date, which are:
1. Unilazer to exercise the Warrants in accordance with the SEBI DIP Guidelines.
2. Unilazer shall convenant to the Company (to its reasonable satisfaction) that Unilazer, being the holder of the Warrants shall pay all amounts due under the terms of the Warrants appropriately and promptly in accordance with the SEBI DIP Guidelines.
The Board also partly modified its earlier resolution dated February 16, 2008 such that the subscription by Unilazer of 45,32,000 warrants forms part of the consideration for the Company to undertake the allotment to TWDC (SEA) of 93,52,500 equity shares on a preferential basis and the subscription by TWDC (SEA) of 93,52,500 equity shares forms part of the consideration for the Company to allot the 45,32,000 warrants to Unilazer on a preferential basis. The Board approves the issue of 93,52,500 equity shares on a preferential basis to TWDC (SEA) and 45,32,000 warrants to Unilazer as part of a consolidated transaction.
The Company shall be seeking the approval of the members through the process of postal ballot shortly....
