India Steel Works Ltd has informed BSE that the members at the 21st Annual General Meeting (AGM) of the Company held on December 29, 2008, inter alia, have passed the following resolutions:

1. Adoption of Audited Profit & Loss Account for the year ended March 31, 2008 and the Balance Sheet as at that date and the Directors and Auditors Report thereon.

2. Re-appointment of Mr. Bimal Desai & Mr. Neeraj Agarwal as Directors, liable to retire by rotation.

3. Appointment of Messers Thanawala & Co., as Auditors of the Company to hold office from the conclusion of this meeting until the conclusion of the next Annual General Meeting and to examine and audit the accounts of the Company for the accounting year April 01, 2008 to March 31, 2009, on remuneration, terms & conditions.

4. Increase of Authorised Share Capital from Rs 78,00,00,000/- (Rupees Seventy Eight Crores) to Rs 88,00,00,000/- (Rupees Eighty Eight crores only) which shall be dividend tin 21,00,00,000 (Twenty one crores) equity shares of Re 1/- each and 6,30,00,000 (Six crores and thirty Lacs) Preference Shares of Rs 10/- each and unclassified shares of the value of Rs 4,00,00,000 (Rupees Four Crores only) and consequential amendments in Memorandum and Articles of Association of the Company.

5. Re-appointment of Mr. Sudhirkumar H Gupta as Joint Managing Director for a further period of 5 years with effect from September 01, 2008 on remuneration, terms & conditions.

6. approval for the appointment of Mr. Varun Gupta, to hold an office or place of profit, as an Executive in the management of the COmpany w.e.f. April 01, 2008, on remuneration, terms & conditions....
