Housing Development Finance Corporation Ltd (HDFC) has informed BSE that the Board of Directors of the Company at its meeting held on April 30, 2008, inter alai, has transacted the following:
1. The Board recommended a dividend of Rs 25 per equity share for the financial year
2007-08 (Rs 22.00 per equity share for the previous year).
Further the Company has inform that the Register of Members & Share Transfer Books of the Company will remain closed from July 02, 2008 to July 16, 2008 (both days inclusive) for the purpose of payment of dividend & 31st Annual General Meeting (AGM) of the Company scheduled to be held on July 16, 2008.
2. Appointment of Dr. Bimal Jalan as Additional Director
The Board appointed Dr. Bimal Jalan as an additional director of from April 30, 2008. As per the provisions of Section 260 of the Companies Act, 1956, Dr. Jalan holds office up to the date of the ensuing Annual General Meeting (AGM). The Board has recommended the appointment of Dr. Jalan as a director of the Corporation for the approval of the members at the ensuing AGM.
3. Re-anointment of Ms. Renu Sud Karnad as Whole-time Director
Subject to the approval of the Members at the ensuing AGM, the Board approved the re-appointment of Ms. Renu Sud Karnad as the whole time Director of the Corporation (designated as Joint Managing Director), for a further period of 5 years with effect from May 03, 2008.
