Sutlej Textiles & Industries Ltd has informed BSE that the members at the 3rd Annual General Meeting (AGM) of the Company held on September 26, 2008, inter alia, have accorded to the following:

1. The Balance Sheet as at March 31, 2008 and the Profit and Loss Account for the year ended on that date alongwith the Auditors Report and Directors Report thereon were approved and adopted

2. Payment of dividend of Rs 1/- per equity share of Rs 10/- each was declared.

3. Shri. C S Nopany, Shri. S M Agarwal & Shri. J S Varshneya, the retiring directors, was re-appointed.

4. M/s. Singhi & Co., Chartered Accountants, retiring Auditors were re-appointed until conclusion of the next Annual General Meeting.

5. M/s. S R Batliboi & Company, Chartered Accountants, the retiring Branch Auditors, were re-appointed until conclusion of the next Annual General Meeting.

6. Shri. K R Podar & Shri. S K Khandelia, was appointed as Directors pursuant to Section 257 of the Companies Act, 1956.

7. Shri. S K Khandelia was appointed as Wholetime Director of the Company pursuant to Section 269 of the Companies Act, 1956....
