GNFC is shortly holding an Extra Ordinary General meeting of the members of the company to approve donation of 30% of its Profit before tax. I request all its shareholders to come together and oppose this resolution. In fact shareholders of listed Gujarat PSUs should form an association and request Shri Modiji CM and other ministers to cancel this order

The gu govt has proposed a silly "additional tax" of 30% on our investment. This is unconstituional and we need to fight back....

Gujarat Narmada Valley Fertilizer Co. Ltd. has informed the Exchange that the Board of Directors of the Company has in its meeting held on September 25, 2008 decided to conduct a Postal Ballot in terms of the provisions of Section 192A and other applicable provisions of the Companies Act, 1956, for seeking the approval of the members of the Company for the following: i) A Special Resolution pursuant to Section 17 of the Companies Act, 1956 for insertion of Sub Clause Nos. (27) & (28) after the existing Clause No. (26) of Part C of Clause III Others Objects of the Memorandum of Association of the Company; ii) A Special Resolution pursuant to Section 149 (2A) of the Act for commencing and carrying on all or any of the new businesses specified in newly introduced sub clause (27) and (28) of Clause III (C) of MoA of the Company; and iii) An Ordinary Resolution pursuant to Section 293(1) (e) of the Companies Act, 1956 for making contributions / donations to charitable and other funds not directly relating to the business of the Company upto Rs.99.30 Crores. The Company has appointed Shri Devesh A. Pathak, Practicing Company Secretary, to act as the Scrutinizer for conducting the Postal Ballot Process in respect of the Resolutions. The Company has further submitted to the Exchange a calendar of events for conducting the Postal Ballot process.
