Dcw Ltd has informed the Exchange vide its letter dated May 16, 2008 that "The Board of Directors at their meeting held today have also decided to seek approval of the shareholders of the Company by way of passing a fresh special resolution for issue of equity shares/securities to Qualified Institutional Buyers (QIBs) in terms of Securities and Exchange Board of India (Disclosure and Investor Protection) Guidelines, 2000 and the aggregate amount of shares /securities so issued including premium shall not exceed Rs.200 crores. The aforesaid issue was earlier approved by the Board in their meeting held 15th January, 2008. The said proposed issue was also approved by the shareholders at the Extra Ordinary General Meeting held on 14th February, 2008. As the minimum issue price as per SEBI Guidelines on the basis or Relevant date was substantially higher than the present market price, the Board decided to propose a special resolution in the forthcoming Annual General Meeting for rescinding the resolution for such issue passed on 14th February, 2008 and to pass a fresh resolution for such issue so that the minimum price at which the shares to be issued as per SEBI Guidelines on the basis of new Relevant date is in line with the present market price of the Company’s shares."
