Posted by : MMB MessengerZensar Technologies Limited has informed the Exchange that "The Committee of Directors of the Company at their meeting held on August 7, 2009, considered and in principle approved the merger of Zensar OBT Technologies Limited (ZOBT) and Zensar Transformation Services Limited (ZTSL), wholly owned subsidiaries of the Company with itself. The Appointed Date of the Scheme of Amalgamation is April 1, 2009. The entire Equity Share Capital of ZOBT and ZTSL is held by the Company and its nominees. Therefore, upon the Scheme becoming effective the entire equity share capital of ZOBT and ZTSL will stand automatically cancelled and there will be no issue and allotment of shares pursuant to the Scheme. The Scheme of Arrangement is, inter-alia, subject to the necessary approvals under the Companies Act, 1956 including the High Court of Bombay, or any other competent authority"....

Zensar Technologies Ltd has informed BSE that the Committee of Directors of the Company at its meeting held on August 07, 2009, considered and in principle approved the merger of Zensar OBT Technologies Ltd ("ZOBT") and Zensar Transformation Services Ltd ("ZTSL"), wholly owned subsidiaries of the Company with itself. The Appointed Date of the Scheme of Amalgamation is April 01, 2009.
The entire Equity Share Capital of ZOBT and ZTSL is held by the Company and its nominees.

Posted by : MMB MessengerZensar Technologies Limited has informed the Exchange that the Board of Directors of Zensar Technologies Limited, at its meeting held on July 23, 2009, have approved the buyback of equity shares of the company at a price not exceeding Rs. 165/- per equity share and an aggregate amount to be expended by the company for the buyback not exceeding Rs 40.00 Crores in accordance with the provisions of the Companies Act, 1956. The buyback would be subject to customary/statutory approvals and is also subject to the approval of the shareholders of the company by means of a postal ballot. The Board has formed a Committee of Directors and has delegated powers to take all steps to effect the buyback and decide all Issues & matters in this respect. The promoters of the company have indicated their intention to participate in the proposed buyback. Zensar Technologies Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 23, 2009, has approved the buyback of equity shares of the Company at a price not exceeding Rs 165/- per equity share and an aggregate amount to be expended by the Company for the buyback not exceeding Rs 40.00 Crores in accordance with the provisions of the Companies Act, 1956.
