MMB MessengerHcl Infosystems Ltd has informed the Exchange that the Shareholders of the Company at the Extra-Ordinary General Meeting ("EGM") held on September 23, 2009, have unanimously passed the Resolutions relating to the following matters as set out in the Notice of the EGM dated August 24, 2009, and for the purposes set forth in the explanatory statement attached thereto: 1) Issuance of equity shares or equity linked securities of the Company, or a combination thereof, in domestic and/or international offerings including by way of a Qualified Institutions Placement to Qualified Institutional Buyers, in accordance with Chapter VIII of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009, and other applicable laws, for a value not exceeding Rs. 500 Crores plus oversubscription, if any, of an amount up to Rs. 25 Crores, including premium. 2) Issuance of Warrants not exceeding Rs. 322 Crores, including premium convertible into equity shares of the Company to certain promoters of the Company in accordance with Chapter VII of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009, and other applicable laws. 3) Payment of remuneration by way of commission to the Non-Executive Directors of the Company....

HCL Infosystems Ltd has informed BSE that the members at the Extra Ordinary General Meeting (EGM) of the Company held on September 23, 2009, inter alia, have unanimously passed the following resolutions:
1.
