The deal for the European IT consulting company Ciber Novasoft could be valued at around US$200-300mn




Infosys Technologies Ltd. is reportedly in talks to acquire European IT consulting company Ciber Novasoft in a deal valued at around US$200-300mn. The Bangalore-based IT major is not the only one interested in Ciber Novasoft. Hence, a bidding war is possible and it may take some time before a final deal is announced.

Infosys is also believed to have short-listed three other companies for acquisition. The company declined to comment on the media reports.

Ciber Novasoft has revenues of around US$420mn, which is down substantially from last year.

Standard Chartered us advising Infosys on the deal while Ciber Novasoft is being advised by Citi and JP Morgan Chase, according to reports.

Infrastructure Management – Scaling up

* Infosys’ Infrastructure management services (IMS) practice has
consistently outgrown peers in the past 3 years. Importantly, the
EBITDA margins are in-line with company average and significantly
higher than peers, highlighting Infosys’ ability to grow new
businesses’ at superior margins. With our channel checks pointing
towards acceleration in revenue growth trajectory, Infosys is likely
to outperform, in our view. Retain Buy on Infosys.

* Infrastructure management services (IMS) practice – a
revelation: Contrary to perception of Infosys lagging peers in IMS, we
are positively surprised by a) absolute size of IMS practice
(US$141mn, second largest after Wipro) & b) 10.1% compounded
quarterly growth rate achieved in the past 3 years. Adjusted for the
India business and acquisitions made by peers, we reckon, Infosys IMS
practice may be the largest in the industry.

* Margins at IMS in-line with company average: EBITDA margins at
IMS practice are in-line with the company average (~34%); dispelling
notion of lower margins in new service lines.

* Superior business model driving growth: a) Infosys ability to
convert capital expenditure to operating expenditure, b) transparent
and flexible pricing structure, & c) alliances with hardware and
software vendors. On the back of superior business model, Infosys has
been able to replace global incumbents from existing contracts.

* Revenue growth likely to surprise in FY11/FY12: As highlighted
in our note on Infosys titled “Powering ahead” we believe that revenue
growth is likely to surprise in FY11/12E. Infosys has the highest margin
buffer compared to peers and this should result in superior EPS
growth. We reiterate Buy with a price target of Rs2,727, based on 20x
1 year forward EPS. We remain buyers of tier-1 Indian IT....

* Unemployement in US going up
* Dollar is gaining strength
* Nasscom expresses 10-14% increae in sales for next 10 years
Then why a PE of 24-25 for IT companies?...

Investors wake up Insiders buying!

Why would the promoters buy the equity in their own company through preferential allotment for whopping 7 crores when they can deploy that cash in other assets?

It`s because they know enough about the future of the company more than anyone else and think that the price paid is an extraordinary bargain compared to the value of the business (almost 1/3rd of book value). The revival in demand in Europe is evident and EPS would only move up from here. Crew is a great value buy in this overvalued market.

Age old wisdom says that if an insider is selling his stake, it could be because of any number of reasons but if he is buying it then there is only one conclusion, he knows the value of his asset more than any other person. Buy and sit tight for few months and this stock will reach Rs 100. Almost all leather companies are trading at 13+ on FY10 earnings while is crew is available at 4 times earnings.

Classic diamonds promoters issued themselves warrants at a throwaway price of Rs13 and the stock is trading at 77% premium to this price now. You can make your own judgments....
