Nestle India Ltd has informed BSE that at the 50th Annual General Meeting (AGM) of the Company held on May 05, 2009, all the items of business contained in the Notice of the 50th Annual General Meeting were approved by the shareholders, who: -
1. Approved the Balance Sheet as at December 31, 2008 and the Profit and Loss Account for the year ended on that date together with the Reports of the Directors and Auditors thereon.
2. Approved final dividend of Rs 12.00, per equity share for the year 2008 and confirmed the two interim dividends of Rs 8.50 and Rs 14.50 per equity share, already paid for the year ended December 31, 2008.
3. Re-appointed Mr. Michael W O Garrett as a Director of the Company.
4. Re-appointed M/s. A F Ferguson & Co., Chartered Accountants, as the Auditors of the Company upto the conclusion of the next Annual General Meeting of the Company; and
5. Re-appointed Mr. Shobinder Duggal as a Whole-time Director, designated as "Director-Finance & Control", of the Company for a further period of five years with effect from May 10, 2009....

BAZEEGARThe company has come up with decent number for the quarter ended March 2009. The company’s domestic sales have increased by 19% due to increased volumes and better realizations. Despite rupee depreciation, the export sales have dropped by 15% largely on account of lower exports to Russia. The company’s other operating income doubled from Rs 2.4 crore to Rs 5 crore due to backlog of export incentives received during the March quarter. Favourable sales mix, lower petroleum prices, improved realizations and better forex exposure management have enabled the company to achieve this performance. The company has also witnessed a decline in raw material and employee costs to total revenues in the quarter under review. In all, the company has posted commendable results and is expected to perform well in future as well....
The company has posted healthy results for first quarter ended March 2009. Net sales witnessed a jump of 16.50% at Rs.12707.80 million in Q1FY09 as against Rs.10909.10 million clocked in the same quarter year ago, thereby translating in op-erating profits of Rs.3041 million, portraying a growth of 27% from Q1FY08. The bottom line for Q1FY09 stood at Rs.1973 million witnessing a whooping growth of 63% from previous quarter ended December 2008. On the margins front, operating profit margins expanded by 202 bps at 23.93% as compared with 21.91% in Q1FY08. Similarly, net profit margins surged by 85 bps to stay at 15.53% from 14.68% clocked in the corresponding quarter last fiscal. EPS for the quarter under review stood at Rs.20.46, exhibiting a tremendous growth of 23.20% from the same quarter previous year....

Nestle India Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on April 29, 2009, inter alia, to consider declaration of Interim Dividend for the year 2009, if any.
Further, with reference to the earlier announcement dated March 06, 2009 regarding the Book Closure from May 05, 2009 to May 06, 2009 (both days inclusive) for the purpose of Annual Closing and determining entitlement of shareholders to the final dividend for the year 2008 of Rs 12.00 per equity share, the same Book Closure shall also determine entitlement of shareholders to the Interim Dividend for 2009, if any....
