Posted by : MMB MessengerPantaloon Retail (India) Ltd. has informed the Exchange that pursuant to Section 192A of the Companies Act, 1956, read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001, approval of shareholders of the company is sought for : (1) Ordinary Resolution under section 293(1)(a) and other applicable provisions of the Companies Act, 1956 for sale/transfer of Fashion Division and investment in Home Solutions Retail (India) Limited to Future Value Retail Limited (to be renamed as Future Merchandising Limited), a wholly owned subsidiary company. (2) Ordinary Resolution under section 293(1)(a) and other applicable provisions of the Companies Act, 1956 for sale/transfer of Retail Division to Future Speciality Retail Limited (to be renamed as Future Consumer Enterprises Limited), a subsidiary company in which the Company has 100% interest. (3) Special Resolution under section 21 and other applicable provisions of the Companies Act, 1956 for change of name of the Company from Pantaloon Retail (India) Limited to Future Markets & Consumer Group Limited or such other name as may be approved by Registrar of Companies, Maharashtra. The Company has appointed Mr. Virendra Bhatt, Practising Company Secretary, as the Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner. The duly completed postal ballot form should reach the Scrutinizer not later than the close of working hours on May 22, 2009. The Scrutinizer will submit his report to the Managing Director on the completion of the scrutiny. The result of Postal Ballot will be announced by a Director of the Company on May 25, 2009.
