Posted by : MMB MessengerTake Solutions Limited has informed the Exchange that pursuant to section 192A of the Companies Act, 1956 read with the Companies (Passing of Resolution by Postal Ballot) Rules, 2001, the Company considers to transact the following Special business by the members of Company by passing resolutions through Postal Ballot: (1) Amendment of Object Clause of the Memorandum of Association, (2) Alteration of the Articles of Association, (3) Issue of securities under TAKE Solutions Employee Stock Option Scheme (ESOS)-2007 to employees of the Company, (4) Issue of securities under TAKE Solutions Employee Stock Option Scheme (ESOS)-2007 to employees of holding company and subsidiary companies. The Board of Directors at its meeting held on January 30, 2009 has appointed Ms. B. Chandra, A.C.S. Practicing Company Secretary as Scrutinizer to receive and scrutinize the completed Ballot Papers from the Members. The duly completed form should reach the Scrutinizer on or before March 23, 2009. The Scrutinizer will submit her final report to the Chairman of the Company as soon as possible after the last date of receipt of postal ballot but not later then the closing business hours of March 30, 2009. The Chairman / Director of the Company shall announce the results of postal ballot on March 30, 2009. 1. Amendment to Memorandum & Articles of Association
- The Board approved the amendment to the Object Clause of the Memorandum and alteration of the Articles of Association and recommended the same for members approval.
2. Resolution for ESOS Shares - to be approved by shareholders in compliance with SEBI Guidelines:
- The Board recommended a revised Resolution for ESOS shares to be approved by the shareholders in compliance with the SEBI Guidelines.
3. Notice for Postal Ballot and appointment of Scrutinizer thereof:
