MMB MessengerZicom Electronic Security Systems Limited has informed the Exchange that the Company had allotted 15,75,000 convertible warrants on January 31, 2008 to entities other than Promoters, pursuant to the resolution passed by the shareholders at their Extra Ordinary General Meeting held on January 17, 2008 in accordance with SEBI Guidelines on Preferential Issue. Each warrant of a face value of Rs. 20/- was carrying option to subscribe for 1 equity share of the Company at a price of Rs. 200/- (inclusive of premium of Rs. 190/- per share). In this connection the Company have further informed that the said entities have not exercised the option to convert the warrant and the right to apply for equity shares has lapsed on July 30, 2009 as per terms of the issue. Accordingly, all 15,75,000 warrants stands cancelled and consequently, the entire amount of Rs. 3,15,00,000/- received thereon from the warrant holders stands forfeited....

Posted by : MMB MessengerZicom Electronic Security Systems Limited has informed the Exchange that pursuant to the authority accorded by the shareholders of the Company at the Annual General Meeting held on August 24, 2006 the Compensation Committee of Directors at its meeting held i.e. July 6, 2009 has approved the grant of 10,000 stock options to the eligible employee of the Company against which 10,000 equity shares can be allotted based on right to apply for one equity share against each option. The said options have graded vesting period ranging from one year to three years from the date of grant and same can be exercised within two years from the date of their respective vesting. The exercise price has been fixed based on one days prior closing price of equity shares of the Company on NSE (being the exchange on which there was highest trading volume) i.e. Rs. 86.15/- (on Friday, July 3, 2009).
