Infomedia 18 Ltd has informed BSE that members of the Company will consider the following resolutions by way of Postal Ballot :
1. To reclassify the Authorised Share Capital of the Company comprising of 5,00,00,000 (Five Crores only) Equity Shares of Rs 10/- (Rupees Ten only) each and 1,00.00,000 (One Crore only) Preference Shares of Rs 10/- (Rupees Ten only) each aggregating to Rs 60,00,00,000 (Rupees Sixty Gores only) into 6,00,00,000 (Six Crate only) Equity Shares of Rs 10/- (Rupees Ten only) each aggregating to Rs 60,00,00,000 (Rupees Sixty Crores only) and the Authorised Capital is further Increased from Rs 60,00,00,000 (Rupees Sixty Crores only) divided into 6,00,00,000 (Six Crores only) equity shares of Rs 10/- (Rupees Ten only) each to Rs 1,00,00,00,000 (Rupees One Hundred Gores only) divided into 10,00,00,000 (Ten Crores) equity shares of Rs 10/- (Rupees Ten only) each with the power to the Board to decide on the extent of variation in such rights and to classify and re-classify from time to time such shares into any class of shares, and the new shares shall rank pari passu with the existing shares of the Company and consequential amendments in Memorandum of Association of the Company, subject to necessary provisions and approvals.

Posted by : MMB MessengerInfomedia India Limited has informed the Exchange that pursuant to Section 192 A of the Companies Act, 1956, read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001, Infomedia 18 Limited (the Company) proposes to obtain consent of its Shareholders for the following resolutions proposed by way of a Postal Ballot: 1) Ordinary resolution pursuant to the provisions of sections Section 16, 94 (1)(e) and 94 (1)(a) and other applicable provisions, if any, of the Companies Act, 1956 to increase the Authorised Capital of the company from Rs. 60,00,00,000/- to 1,00,00,00,000/- including reclassification of 1,00,00,000 Redeemable Preference Shares of Rs. 10/- into equity shares and in this regard alter clause V of the Memorandum of Association of the Company. 2) Special Resolution under Section 31 of the Companies Act, 1956 to alter Article of Association of the Company by deleting Articles 4A and 4B of the Articles of Association of the Company as a sequel to cancellation of Preference Shares as mentioned in item no. 1 above. At the said meeting a poll was conducted for considering and approving the resolutions mentioned in the notice convening the meeting. Company hereby inform that at the above-said meeting the said scheme has been approved with an overwhelming majority in number and value (about 99.99%) and accordingly both the resolutions stand approved.
