Posted by : MMB MessengerD-Link (India) Limited has informed the Exchange vide its letter dated June 13, 2009 that "The Honble High Court of Judicature of Bombay, Goa has sanctioned the Scheme of Arrangement between the Company, Smartlink Network Systems Limited and their respective shareholders and creditors ("Scheme") vide its order dated February 27, 2009. A certified copy of the said court order has been duly filed with the Registrar of Companies Goa on March 27, 2009. The Scheme provides that it shall become effective upon satisfaction of the conditions set out in Clause 36 therein, including receipt of necessary approvals from governmental authorities. The fulfillment of the conditions precedent to the Scheme have been taken on record by the Board of Directors of the Company at their meeting today and the Board of Directors have declared the Effective Date for the Scheme to be June 10, 2009.The Board of Directors of the Company at its meeting held today has also fixed the Record Date as Thursday, the 25th June 2009 for determining the equity shareholders of the Company, who would be allotted shares of Smartlink Network Systems Limited pursuant to the Scheme of Arrangement". Further, the Company has submitted to the Exchange a detailed note on the salient features of the Scheme. Other wise, the company has got good fundamentals, its Book Value is at 68.90.
After the scheme of arrangement with Smartlink, more clarity would be found for the long term. ...

The Honble High Court of Judicature of Bombay at Goa has approved the Scheme of Arrangement between the Company and Smartlink Network Systems Limited.The company is awaiting the approval of Reserve Bank of India with regard to the aforesaid Scheme of Arrangement. The Scheme shall become effective once the RBI approval is received. In view of the above, the Company would be publishing the Audited Results on or before June 30, 2009 after giving effect to the Scheme of Arrangement....

D-Link India Ltd has informed BSE that the Company would not be publishing the Unaudited financial results for the quarter ending March 31, 2009.
Further the Company has informed that the Honble High Court of Judicature of Bombay at Goa has approved the Scheme of Arrangement between the Company and Smartlink Network Systems Ltd. The Company is awaiting the approval of Reserve Bank of India with regard to the aforesaid Scheme of Arrangement. The Scheme shall become effective once the RBI approval is received.

Higher dollar is going to impact the profits of this company as it imports raw materials. Further top line is dampened due to sluggish PC demand.
I expect this to continue for whole of this year and maybe next year too. I do not expect much movement in this counter for medium term.
