The Uday Kotak led committee on corporate governance reforms has submitted its report to SEBI. In its 170 page report the 21 member panel has made some important recommendations on the composition and the role of board of directors -- these include recommendations on the number of directors, attendance and even skills of directors. The panel has also shared its views on issues like gender diversity as well as separation of the roles of non-executive chairperson and CEO.
Meanwhile, the Ministry of Corporate Affairs has expressed its dissent on several of the recommendations that have been made by the committee, saying that those changes are not really feasible and many could cause regulatory overlaps and may unnecessarily make functioning of company boards tougher.
