The Company was incorporated on 18th june 1992  under the Companies
 Act 1956 with the register of companies delhi and Haryana at New
 Delhi.  The certificate of commencement was obtained by the company
 on 9th July 1992.  The Time lag between the incorporation and the
 setting up of the project has been on account of the time required by
 the Company to change the site from Himachal Pradesh to Rajasthan,
 acquisition of land, convertion of land and tie-up of collaboration
 arrangements.  After entering into the collaboration agreement on
 27th May 1993, the Company has proceeded with implementation of its
 project.
 
 PRESENT BUSINESS OF THE COMPANY
 
 The company proposes to manufacture and market beer under the brand
 name of Henninger.  They also propose to manufacture barley malt, a
 part of which will be used captively for production of beer and the
 rest will be sold.  The Beer industry has been a tightly controlled
 licensed industry since independence.  The issue of licences to beer
 units was restricted till the recent past.  Licenses to new units for
 the manufacture of beer have now been issued after a moratorium of a
 number of years.  With the marked shift in preference from hard
 drinks to lighter alcoholic drinks the beer market has expanded at a
 fast pace.  There are a number of listed Companies in this line of
 business some of which are United Breweries Ltd., Mohan Meakin
 Breweries Ltd., Haryana Breweries and Mysore Breweries Ltd.
 
 PROMOTERS
 
 Winsome Breweries Ltd. has been promoted by Shri R.K. Bagrodia. Shri
 Bagrodia, aged 49 years is a Chemical Engineer from IIT Kharagpur and
 has obtained Master's Degrees in Chemical Engineering as well as
 Management Science from University of Waterloo, Canada.
 
 Shri Bagrodia's experience in setting up and managing industries
 dates back to 1969 when he promoted Himalayan Rasayan Udyog Pvt. Ltd.
 in Udaipur, Rajasthan to manufacture sodium silico fluoride from waste
 effluents of M/s. Hindustan Zinc Ltd. which was causing water
 pollution.  He remained in the business till 1982 when he co-promoted
 M/s. Winsome Textile Industries Ltd. (WTIL) He was the joint Managing
 Director of the Company from 24.5.82 to 22.5.87, when he resigned to
 be associated with other ventures such as Suzuki (India) Ltd. which
 is engaged in the domestic and international trading of commodities.
 
 Though Shri Bagrodia does not have any experience in the beer
 industry, being an experienced chemical engineer with long experience
 in other industries, he is well placed to run a brewery which is
 essentially a food processing industry requiring chemical engineering
 expertise.  The Company is also inducting technical executives for the
 project.
 
 The other Company in which Mr. R.K. Bagrodia is involved is M/s.
 Suzuki (India) Ltd. (SIL).  Suzuki (India) Ltd. has been engaged in
 Domestic and International Trading of Commodities since 1984.  In the
 domestic sector, the Company has been dealing in commodities like
 Polyster Staple Fibre and Chips.
 
 Shri R.K. Bagrodia has also promoted Indfish Limited in 1992, which
 envisages the setting up of a 100% EOU for deep sea fishing in the
 Indian EEZ (Exclusive Economic Zone).  The Company has not yet
 commenced its activities.
