The Company was incorporated on 19th January 1994 as Vidhi
 International Private Ltd, The name was changed to Vidhi Dyestuffs
 Manufacturing Private Limited on  29th July, 1994 and subsequently it
 was converted into a Public Limited Company under the name and style
 of Vidhi Dyestuffs Manufacturing Ltd. on 6th March, 1995 by passing a
 special resolution in the Extra Ordinary General meeting held on 15th
 December, 1994.
 
 The Company proposes to manufacture Food Colours with an installed
 capacity of 302 TPA at its proposed plant at Roha, Raigad Dist.  The
 promoters are already in the business of imports and exports of Food
 Colours and Dyestuffs since 1984.  The associate companies are
 marketing over 12 to 15 tons per month of food colours for last three
 years.  The Company has a marketing tie-up with Hongkong based trading
 company M/s. Tai Cheong Trading Co. for exporting 15 tonnes per month
 of food colours for a period of three years from the date of signing
 of the agreement.

 -Company has splits its Face value of Shares from Rs 10 to Re 1.

 - The Board of Directors of the Company has approved and declared an
 Interim Dividend @ 20% (i.e. Rs. 0.20ps per Equity Share of Rs. 1/-
 each) for the year.
