SUBHASH DALAL FINANCIAL CONSULTANTS LIMITED was incorporated on 23rd
 July, 1990 with Registrars of Companies, Gujarat at Ahmedabad and got
 its SEBI Registation No. MB/022/0990/BRD on 26th September, 1990.  The
 Merchant Banking operations were started in 1984 under Subhash Dalal
 Financial consultants.  The Company took over the Merchant banking
 Operations as aforesaid and has so far handled 125 Public Issues as
 Lead Managers/Co-Managers/Advisors to the Issue from different parts
 of the country.
 
 Subash Dalal Financial Consultants Limited are one of the Merchant
 Bankers in the State of Gujarat the Company is duly authorised under
 `Categoy I' by Securities and Exchange Board of India and was ranked
 Numero Uno Private Sector Merchant Banker for handling maximum number
 of Public Issues during 1991-92 and `Number Three' during the year
 1992-93 as per Prime Alert Magazine.
 
 The Company offers advice on quantum, timing and nature of issue
 considering various guidelines, capital structuring, detailed
 checklist for various activities with time schedule, clearance of
 issue documents from the various authorities like SEBI, Institutional
 underwriters, ROC's office, tie-up for various agencies like
 Advertisers, Printers, Registrars and Holdings various Press/Brokers'
 and Investors' conferences for marketing the Issue and Post Issue
 Management etc.

 Managers/Co-Managers/Lead Managers/Co-Managers/Advisors to the Issue.
 
 
 Identifying viable projects and advise on investments in
 Shares/Debentures and other Securities and Providing assistance in
 obtaining clearances for various activities from different
 authorities etc.
 
 Presently, the Company is rendering Investment Counselling Services
 to various NRI Investors.  Besides, some NRI Promoters have
 approached the Company for utilising its services as Lead Managers
 for their forthcoming Ventures.
 
 The Company offers services as to Preparation of Project Reports as
 per Institutional Norms and Loan Syndication etc., Suggesting
 Feasible Projects as per budget and attitude of clients as well as
 Monitoring of Industrial Projects etc.
 
 It has handled such assignment for around 25 Companies right from the
 inception of the Porject till final management of the Public Issue.
 
 The Appraisal Cell makes assessment of Financial Viability, Technical
 Feasibility, Managerial Competance and other important parameters to
 judge the overall viability of the project.
 
 The Company started the Project Appraisal Activities only around 12
 months back and has so far done appraisal for around 25 projects.
 
 Counselling and Mobilistion of funds in New Securities/Rights
 Issue/Fixed Deposits of leading companies with attractive incentive
 schemes etc.
 
 The Promoters of the Company are having diversified experience in
 Financial Services, Shri. Subhash B. Dalal a commerce Graduate, is
 the Chairman of the Company.  Shri. Bhagwandas V. Dalal, Shri. Mukesh
 B.Dalal and Shri. Rasesh B. Dalal are the other promoters.
 
 
 
 2000 - The Company has incorporated SDFC Infotech Ltd as its
        wholly-owned subsidiary company for making forays into
 software
        development, Internet and other computer and software-related

 -Company has splits its Face value of Shares from Rs 10 to Rs 5
