Company History - RPG Cables
YEAR                                                     EVENTS
 1982 - The Company was incorporated in March, at Bangalore.  It was
        jointly promoted by KSIIDC (Karnataka State Industrial
 Investment
        & Development Corporation) and ACCL (Asian Cables Corporation
        Limited).  It manufactures polythene insulated jelly filled
        cables.  It also exports its products.
 
      - The Company undertook to set up a project with an installed
        capacity to manufacture 6.25 lakhs conductor kilometers of
 jelly
        filled cables.
 
      - The Company entered into a technical collaboration agreement
 with
        Pheeps Dodage International corporation (PDIC) USA, for
 technical
        information, know-how and knowledge relating to manufacture
 of
        telephone cables.
 
 1986 - 7 shares subscribed for by the signatories to the Memorandum
 of
        Association.  39,99,993 No. of equity shares then issued at
 par
        out of which 9,96,000 shares to promoters, etc. 10,39,998
 shares
        to KSIIDC were reserved and allotted.  Out of the remaining
        19,63,995 shares, the following shares were reserved for 
        preferential allotment;
 
      - (i) 1,99,997 shares to employees of the Company and those of
        promoters and associate companies (none were taken up);
 
      - (ii) 39,280 shares to business associates of the Company
 (only
        28,500 shares taken up) and
 
      - (iii) 8,00,000 shares to NRIs on repatriation basis (only
        5,00,300 shares taken up).  The balance 9,24,718 shares,
 along
        with the unsubscribed portion of 5,10,477 shares out of the
        preferential quota were offered to the public in September
 1986
        (All were taken up).
 
 1990 - The Company issued 1,20,000-14% secured redeemable
        non-convertible debentures of Rs 100 each at par to SBI
 Capital
        Markets Ltd., on private placement basis.  These debentures
 were
        to be redeemed with 5% premium on the expiry of 7th year from
 the
        date of allotment.
 
 1991 - The Company issued 2nd series of 1,00,000-14% secured,
 redeemable
        non-convertible debentures of Rs 100 each at par to ANZ
 Grindlays
        Bank on private placement basis.  These debentures are
 redeemable
        with 5% premium on the expiry of 7 years.
 
 1992 - The name of the company was changed from Karnataka Telecables
        Ltd. to RPG Telecom Ltd. on 21st September.  The name of the
        Company further changed from RPG Telecom Ltd. to RPG Cables
 Ltd.
        on 12th January, 1998.
 
 1993 - The Company entered into a technology tie-up with the world
        renowned manufacturers of power and telecom cables, at
 Mysore.
 
      - The Company issued 56,00,000 No. of equity shares of Rs 10
 each
        at a premium of Rs 60 per share on rights basis in the
 proportion
        of 7:5 (all were taken up).
 
      - Another 9,71,430 No. of equity shares of Rs 10 each at a
 premium
        of Rs 60 per share were to be offered to the employees,
 friends,
        relatives, associate companies etc. on preferential
 offer/private
        placement basis.  Totally 64,91,200 shares were taken.
 
 1994 - The Company proposed to expand Jelly Filled Telephone Cables
        capacity of the plant at Mysore to 36 LCKM.  The Company
 decided
        to expand the installed capacity of the division to 40 LCKM.
 
      - The Company has decided to put up a PVC power cables project
 at
        Mysore as a part of its diversification programme.
 
      - The Company promoted Sprint RPG India Ltd., RPG Paging
 Services
        Ltd., RPG Cellular Services Ltd. and RPG Satellite
 Communication
        Ltd. to pursue E-Mail, Paging, Cellular and VSAT businesses.
 
      - 21,00,000 No. of Equity shares allotted at a premium of Rs
 170
        per share to Indian financial institution, Mutual funds,
        Corporate Companies on private placement basis.
 
 1996 - With effect from April 1st, Asian Cables & Industries Ltd.
 and
        Upcon Cables Ltd. were merged with the Company.  The merger
 was
        effected on November 10th, 1997.
 
 1997 - 77,49,045 No. of equity shares and 1,000,000 pref. shares
 issued
        as fully paid up share pursuant to a Scheme of Amalgamation.
 
      - RPG Satcom, the firm has received a letter of intent from
 Coats
        Viyella to install 12 Vsats initially.
 
      - Asian Cables has a joint venture with the UK-based BICC
 styled
        RPG-BICC Power Cables, the second largest power cable
        manufacturer in the world, to make high-voltage cables.
 
 1998 - The company, which last year changed its name from RPG Telecom
 to
        RPG Cables, also proposes to approach financial and lending
        institutions for issue of preference shares.
 
      - RPG Communications Holding Ltd, ceased to be a subsidiary of
 the
        company.
 
      - RPG Cables Ltd, formerly known as RPG Telecom Ltd, has made
        large investments in the subsidiaries and other corporate
 units.
 
 1999 - The company set up a 40,000 fibre kilometre (fkm) Optical
 Fibre
        Cable (OFC) plant at Mysore in collaboration with BICC
 cables,
        UK.  The plant commissioned operation in March 1996 and
 currently
        has capacity of 60,000 fkm of OFC.
 
      - The company has been operating the JFTC division at a 50
 percent
        capacity utilization.
 
 2000 - Credit Analysis & Research has assigned a PR1 (superior)
 rating
               to the Rs 30 crore CP issue of the company.
 
 2001 - The Company, manufacturer of jelly-filed cables, power cables
 and optical
              fibre cables, after success of its new flame retardant
 cables specially formulated
              for safety, has launched the product in the Andhra
 Pradesh market.
 
            - RPG Cellular launched the Short Massaging Service in
 Chennai.
 
 
 2003
 
 -The company bags  project worth of Rs 13.5cr from Oil India
 
 2004
 
 KEC International Ltd. has informed that RPG Cables Limited have
 acquired 20,41,541 equity shares aggregating to 5.69% of the issued
 capital of KEC International Ltd
 
 2009
 
 - RPG Cables Ltd has informed that in terms of the sanctioned
 rehabilitation scheme, Hon'ble BIFR has appointed Shri Ajai Singh as
 Special Director of the Company.
