Company History - California Software
Calsoft, promoted by Shri. S.Santhosh and his associates,
 was incorporated as a public limited company on February 6,
 1992, with the objective of creating facilities for
 development of software and export thereof at its
 registered office in Besant Nagar, Madras. The Company
 commenced business operations from October 19, 1992. It is
 a Joint Venture (JV) with equity participation from San
 Francisco-based bunkering major, Chemoil Corporation
 (Chemoil), a Forbes 400 Company (Ranking 393 as per rating
 in 1991). As per the Joint Venture Agreement, Chemoil shall
 hold a minimum of 24% of Calsoft's equity. As on March 31,
 1995 it held 25% of the Company's equity through its
 subsidiary firm, the Hong-Kong based Kemoil Ltd (Kemoil).,
 the holding company of Chemoil. Calsoft has obtained
 permission from the Government of India for the Joint
 Venture and equity participation (upto a maximum of 49%).
 As on November 7, 1995 Chemoil held 49% of Calsoft's equity
 (Rs.1,54,82,990), which would come down to 24 % after the
 proposed issue.
 
 The JV is mainly for financial collaboration, with Chemoil
 also assisting Calsoft in the areas of marketing, equipment
 sourcing, etc., where Chemoil's support may give Calsoft
 the required thrust in the US/European markets.
 
 Copies of the aforesaid documents, viz., Joint Venture
 Agreement, Government of India's approval for Joint Venture
 and foreign equity participation and the relevant RB
 approvals are kept open to the public for inspection at the
 Company's registered office.
 
 Calsoft has set up a 100 % Export Oriented Software
 Technology Park at Besant Nagar in Madras, which commenced
 commercial operations from October 1992. Calsoft comes
 under the Software Technology Park, Bangalore, which
 monitors the activities of Calsoft.
 
 The Company commenced its operations, mainly by managing
 the MIS services for the Chemoil Group of Companies, spread
 over San Francisco, Los Angeles, Houston, New Orleans,
 Panama, Singapore, Venezuela, Philippines and Denmark.
 Slowly it extended its clientele to include other companies
 like Technical Solutions, Act International, International
 Micro.  Computer Software Inc. (IMSI), Delta Airlines,
 etc,. In 1994, Calsoft took on lease from VSNL a wholly
 dedicated 64 KB satellite link between Madras and San
 Francisco and now envisages expansion of its facilities to
 enable it to undertake more lucrative projects from clients
 all over United States and effectively down loading the
 work at Madras and Bangalore.  Video conferencing
 facilities through the link are proposed to be installed in
 1996 to smoothen the communication process.
 
 Calsoft has recently set up its own World Wide Web Server
 on internet that allows it to market and distribute
 software at a very low cost. In addition this allows easy
 monitoring of the US Market from India.
 
 2001 - The Company's state-of-the-art software development centre in
 Tidel Park, Chennai.
 
            - The Company launched in India its Business to Business
 trading product.  Named Ebiz
               Market Server this product is a powerful
 integratedframework that would enable companies
               to do business on the web, thus reducing transaction
 costs, enhance sales and distribution
               process, deliver value added services and streamline
 customer  and vendor management.
 
 2002-California Software Co Ltd has informed BSE that Mr B R Somayaji
 has resigned from the Board of Directors of the Company.
 
 2003
 
 -California Software Company Limited has informed that Mr. Koji
 Takayanagi has resigned from the Board of Directors of the Company.
 
 2004
 
 - California Software Company Limited has informed that Mr. V S Navin
 Shushant, Company Secretary, has been appointed as Compliance Officer
 in place of Ms. Lakshmi Priya w.e.f May 03, 2004.
 
 - Four Soft Ltd has informed that The Global Institute of Logistics
 (GIL) has designated the company as a recipient of its 'Award of
 Excellence' accreditation.
 
 2005
 -Calsoft accredited with CMMI certification
 
 - California Software Company Limited completes acquisition of 100%
 equity in Webspectrum Software Pvt Ltd., Bangalore.
 
 -Calsoft in alliance with Nasdaq-listed company
 
 2006
 
 -Calsoft secures 21st rank in the Deloitte Fast 50 India 2006
 rankings
