BDH Industries Ltd. was incorporated on 5th December, 1990 as a
 Private Limited Company. The Company was converted into Public
 Limited Company vide special resolution passed
 in the Extra Ordinary General Meeting of the Company held on 1st
 April, 1994. & obtained a fresh Certificate of Change of Name upon
 conversion was received on 29th April, 1994.
 
 BDH Industries Limited was incorporated with main object of taking
 over a going concern, M/s. Bombay Drug House Pvt. Ltd. for
 facilitating growth plans in time with the emerging scenario and to
 fulfill the objective of Quality Growth for Globalisation.
 
 Bombay Drug House Pvt. Ltd. an existing profit making & dividend
 paying Company was amalgamated with this Company pursuant to the
 order of Hon'ble High Court of Bombay dated
 4th March, 1994. Bombay Drug House Pvt. Ltd. was incorporated on 13th
 December, 1943 and has built a good reputation locally and
 internationally for its products which are mainly formulations and
 bulk drugs. The Company has been a regular exporter and has received
 several prestigious awards like Top Export Award, Coveted TRISHUL
 Award, etc.
 
 Bombay Drug House Pvt. Ltd. over the years has been a front runner in
 Exports of Formulations. The Company's products are registered in many
 developing countries. For the last 15 years the company has received
 kudos from Ministry of Commerce, Chemexcil, and Govt. of 
 Maharashtra. 15 awards have been bestowed on the Company. The Company
 has a well
 established international clientele & global business associates.
 
 The Company has entered into a MOU with NEPOTHENE GROUP PVT.
 LTD.,(Nepothene) Nepal for providing it assistance in setting up a
 pharmaceutical company, namely NPOTHENE-BDH PHARMA PVT. LTD.
 registered in Nepal. As per the terms of the MOU, the Company shall
 provide Brand Name, Technical and Marketing support to Nepothene. The
 consideration payable by Nepothene is 5% of the Project Cost for
 providing the services.
 
 The Company is presently engaged in the manufacturing of a wide range
 of formulations like antifungal, antibiotics, anti-cancer,
 anti-bacterial, Analgesic, Antiinflammatory, anti-TB,
 Cardio-Vascular, anti-histamines, Vitamins etc. The Company now
 proposes to modernise and expand its production facilities. The
 Company also proposes to manufacture Parental and herbal based
 formulations.
