The Company was incorporated as Sri Vinayaka Traders Pvt. Ltd. on
 04.08.1989 as a Private Limited Company.  The name of the company was
 changed to BALAJI HOTELS AND ENTERPRISES (P) LTD on 04.01.1994.  At
 the Extra-Ordinary General Meeting held on 18.03.1994 a Special
 Resolution was passed for the Conversion of the Company to a Public
 Limited Company.  Accordingly, the restrictions under section
 3(i)(iii) of the Act were deleted from the Articles and the Company
 became a Public Limited Company under Section 31(1)/44 of the Act. 
 The Company had, vide a Special Resolution of Shareholders dated
 05.08.1994, decided to shift the Registered Office from Pondicherry
 to Nellore in Andhra Pradesh.  The Company had also filed, on 7th
 November, 1994, before the Company Law Board (CLB), Southern Region
 Bench, a petition for shifting of the Registered Office of the
 Company from the Union Territory of Pondicherry to the State of
 Andhra Pradesh.  The Company has received confirmation from the CLB
 vide their order dated 16.01.1995.  The Registered Office of the
 Company has been shifted to the State of Andhra Pradesh with effect
 from 17.01.1995.
