Wellworth Finlease Limited was originally incorporated on 26th
 December, 1990, under the Companies Act, 1956 as Private Limited
 Company in the name of R.S Agrawal Financial Consultancy Private
 Limited & subsequently the name of the Company has been changed as
 Wellworth Finlease Limited by passing the Special Resolution in its
 Extra Ordinary General Meeting held on 15th December, 1992 and
 certificate to that effect was obtained from Registrar of Companies. 
 Maharashtra on 25th January, 1993. 
 
 The Company is engaged to provide various type of financial services
 such as Inter-Corporate Deposits, Bill Discounting and short term
 deposits and consultancy services in the various fields including
 administration, commercial, secretarial, accounting, taxation,
 formation of companies, preparation of project feasibility reports
 and to act as an Advisor/Consultant to Issues.
 
 The Company obtained Registration from SEBI for Registered Merchant
 Banker Category III to carry on the Merchant Banking Activities in
 the capacity of Advisors/Consultants and Underwriters to the Issues
 since 1st April, 1993.  After getting the registration the company is
 continuously  providing the above services to its Corporate clients.
 
 The company has been providing consultancy services in the area of
 project and finance to small and medium scale industries, syndication
 in inter Corporate deposit,  corporate consultancy, issue advisory and
 underwriting services in the field of Merchant Banking.  At present
 the
 company has some Issue Advisory Assignments lined up and the issues
 are expected to be launched during the last quarter of 1994 to the
 middle of 1995.  The Company has started syndication of lease
 financing, hire purchase, inter corporate deposits, investment
 banking, short term
 deployment of corporate/trust funds and trading of securities.

 -Company has changed its name from Jaju Enterprises Ltd. to Atharv
 Enterprises Ltd.
