1. The financial results for the quarter and year ended June 30, 2009 were approved by the Audit Committee and have been approved and taken on record by the Board of Directors at its meeting held on August 25, 2009. The final results for the year were audited by the statutory auditors.

2. Under Stock Option Plan 1999, out of the stock options granted till June 30, 2009, the options for 67,223,728 shares have vested&#59; out of which options for 48,785,484 shares have been exercised. As on June 30, 2009, stock options for 9,599,540 shares were in force.

3. Under Stock Option Plan 2000, out of the stock options granted till June 30, 2009, the options for 36,413,292 shares have vested&#59; out of which options for 18,627,164 shares have been exercised. As on June 30, 2009, stock options for 13,893,140 shares were in force.

4. Under Stock Option Plan 2004, out of the stock options granted till June 30, 2009, the options for 7,163,036 shares have vested&#59; out of which options for 5,100,756 shares have been exercised. As on June 30, 2009, stock options for 10,181,724 shares were in force.

5. Basic earnings per share have been calculated by dividing net profit for the period by the weighted average number of shares outstanding during the relevant periods. The face value of share is Rs 2.

6. Diluted earnings per share have been computed using the weighted average number of equity and dilutive equity equivalent shares outstanding during the relevant periods, using ´treasury stock method for options and warrants´ except where the results would be anti-dilutive.

7. The Board of Directors has recommended a final dividend of Re. 1 per share (50 % on par value of Rs. 2 per share), amounting to Rs. 6,703 Lacs, which takes total dividend for the year to Rs. 46,874 Lacs.

8. The figures of previous periods have been re-grouped and re-classified, wherever necessary, to conform to current periods classification.
