*The Company has received demands/ notices from various authorities as
above. The Company is contesting these and the disputes are outstanding
at various levels. Pending final settlement of these cases, the Company
considers all the amounts described above as contingent liability.
2 Estimated amount of contracts remaining to be executed on capital
account (net of advances) and not provided for amount to Rs. 65,915
thousand (Previous year Rs. 3,546 thousands).
3 The Company has established a comprehensive system of maintenance of
information and documents as required by the transfer pricing
legislation under Sections 92 - 92F of the Income Tax Act, 1961. Since
the law requires existence of such information and documentation to be
contemporaneous in nature, the Company continuously updates its
documentation for the international transactions entered into with the
associated enterprises during the financial year as required under law.
The management is of the opinion that its international transactions
are at arms length so that the aforesaid legislation will not have any
impact on the financial statements, particularly on the amount of tax
expense and that of provision for taxation.
4. Based on the confirmations received, Rs 5,341 thousand (previous
year Rs 4,140 thousand) is due to micro and small enterprises under the
Micro, Small and Medium Enterprises Development Act, 2006 as at 31
March 2010. However, no amounts were outstanding to micro and small
suppliers for more than 45 days from the date of acceptance.
5. Operating lease
a) The Company has taken on lease godowns for storage of inventories,
offices for branch activities, residential accommodation for employees
and computers for office use, with an option of renewal at the end of
the lease term and escalation clause in a few cases. These leases are
in the nature of cancellable operating leases. Lease payments amounting
to Rs. 1,825 thousand (Previous year Rs. 2,488 thousand) have been
charged to the Profit and Loss Account.
b) During the previous year, the Company entered into Leave and License
agreement for leasing a portion of factory premises with Salora
International Limited and Panasonic India Private Limited (formerly
known as Panasonic Sales and Services India Private Ltd)., with an
option of renewal at the end of the lease term. This lease is in the
nature of cancellable operating lease. Income from this lease amounts
to Rs. 4,538 thousand (Previous year Rs. 4,731 thousand).
